The Private Dining Room - Venue Partner & Guest Terms of Service

- Introduction
These Terms of Service (Terms) govern your use of The Private Dining Room platform ("TPDR", "we", "us", "our") whether you are a venue operator listing private dining spaces ("Venue Partner") or a guest making a booking ("Guest"). By registering and using the Platform, you agree to comply with and be bound by these Terms.
The Platform connects Guests with Venue Partners offering private dining rooms and related services. TPDR is an independent technology facilitator and is not a party to any agreement made between Guests and Venue Partners beyond providing the booking and listing platform.
- Definitions
Booking: A confirmed agreement between a Guest and Venue Partner.
Final Spend: Total amount spent by the Guest on room hire, food, beverages, and applicable services.
Guest: Any person using the Platform to book a private dining experience.
Platform: The TPDR website and associated services.
Success Fee: Commission paid by the Venue Partner to TPDR, typically 10% of Final Spend.
Venue Partner: A business or individual offering private dining space and services.
Venue Rules: Specific rules issued by the Venue Partner governing use of their space.
- Venue Partner Obligations
You must ensure your space is suitable, safe, and accurately represented.
You may choose to accept bookings via direct enquiry (Offline) or online (Instant Booking).
Online bookings, once confirmed, constitute a formal agreement with the Guest.
You authorise TPDR to collect payment from Guests and disburse funds to you minus the Success Fee.
You must honour all confirmed bookings and provide services as advertised.
Any cancellations, reschedules, or changes to booking details must be promptly communicated to TPDR.
You must maintain valid public liability insurance.
You grant TPDR a royalty-free license to use images and content provided for promotional purposes.
- Guest Obligations
Guests agree to use the Venue Space for lawful purposes only.
Guests are responsible for their invitees and any damage caused during use.
Full payment is required as per the terms of the booking.
Cancellations and rescheduling must follow the Venue Partner’s policy.
Guests must comply with Venue Rules, including capacity limits and any restrictions on photography.
Guests must provide accurate information when booking and maintain a respectful relationship with Venue Partners.
- Fees and Payments
Venue Partner Fees:
10% Success Fee on Final Spend.
Late fees may apply for overdue invoices.
Guest Fees:
Booking Fee (1–3%) applies to online bookings.
Additional services (e.g. staffing, AV) may incur extra charges.
All fees are GST inclusive.
TPDR will invoice and collect funds on behalf of Venue Partners and remit the balance after deducting applicable fees.
- Insurance
Venue Partners must hold adequate public liability insurance.
Guests are encouraged to hold insurance for their events, especially for large or high-value bookings.
- Limitation of Liability
TPDR is not responsible for disputes, damages, or issues arising from the use of the venue.
We do not warrant the quality, safety, or legality of Venue Partner services.
You agree to indemnify TPDR for losses arising from your misuse of the Platform.
- Termination
Either party may terminate their account with 14 days’ notice.
TPDR may suspend or terminate accounts for breach of these Terms.
In the event of Platform shutdown, TPDR will provide reasonable notice and refund any fees for unfulfilled bookings.

- Changes to Terms
TPDR may update these Terms from time to time. Continued use of the Platform constitutes acceptance of any updated Terms.
- Governing Law
These Terms are governed by the laws of New South Wales, Australia.
